Terms & Conditions of Service

These Terms & Conditions (hereinafter "Terms") regulate the use of the SmartRemote platform and related services provided by Swiss World Financial AG (hereinafter "Provider", "we"), based in Via Pian Scairolo 11, 6911 Pambio-Noranco (CH), CHE-390.741.081.
By registering and/or using the service, the user (hereinafter "Customer" or "User") declares to have read, understood and fully accepted these Terms and the Privacy Policy.
1. Definitions
- Platform: the SmartRemote software, including web console, client application (SmartRemote) and host application (SmartRemoteGuest).
- Tenant: the isolated logical environment assigned to the Customer, containing users, devices and configurations.
- Plan: the type of subscription chosen by the Customer, which determines the maximum number of users, devices and concurrent connections.
- Admin: the registered user who administers the tenant and manages users and devices.
- Peer / Device: a computer or device on which the SmartRemote or SmartRemoteGuest software is installed.
2. Subject of the service
SmartRemote provides a platform to manage and control remote access to corporate devices. The service allows you to:
- Register and manage users and devices within a dedicated tenant.
- Define access rules based on time slots and days of the week.
- Monitor connections, installed software and activity logs.
- Establish secure remote connections between authorised devices.
3. Registration and account
- Using the service requires creating an account by providing truthful and complete data.
- The first registered user automatically becomes the tenant Admin.
- The Admin is responsible for managing users and devices within their tenant.
- Access credentials are personal and non-transferable. The user is responsible for their safekeeping.
- The Provider reserves the right to suspend or close accounts that violate these Terms.
4. Plans and subscriptions
- Access to the platform features is subject to subscribing to a paid plan.
- Available plans and prices are listed on the Plans page and may be updated periodically.
- The subscription renews automatically at expiry (monthly or yearly) unless cancelled.
- Cancellation can be done at any time via the Stripe portal. The service remains active until the end of the paid period.
- Prices are expressed in Euro (EUR) and are exclusive of VAT where applicable.
5. Payments and billing
- Payments are managed via Stripe, Inc. The Provider does not store credit card data.
- The Customer must provide complete and accurate billing information.
- In case of non-payment, the Provider reserves the right to suspend access to the service after a 7-day grace period.
- Refunds are granted only in the cases provided by applicable law and on a pro-rata basis for the unused period.
6. User obligations
The User undertakes to:
- Use the service in compliance with applicable laws and these Terms.
- Not use the platform for illegal, fraudulent activities or activities that violate third-party rights.
- Not attempt to access tenants, accounts or devices of other users without authorisation.
- Not perform operations that may compromise the security, availability or performance of the platform.
- Keep SmartRemote and SmartRemoteGuest software updated on their devices.
- Promptly report to the Provider any security breaches or unauthorised use.
7. Service Level Agreement (SLA)
- The Provider commits to a service availability of 99.5% on a monthly basis, excluding scheduled maintenance.
- Scheduled maintenance is announced at least 48 hours in advance.
- The Provider is not liable for outages due to force majeure, user network issues or third-party service malfunctions.
8. Intellectual property
- The SmartRemote platform, including software, interfaces, logos and documentation, is the exclusive property of Swiss World Financial AG.
- The subscription grants the user a non-exclusive, non-transferable and revocable licence to use the service for the duration of the subscription.
- Copying, modification, decompilation, reverse engineering or redistribution of the software is prohibited.
- Data uploaded by the user to the platform remains the property of the user.
9. Limitation of liability
- The service is provided "as is". The Provider does not guarantee that the service will be error-free or uninterrupted.
- The Provider is not liable for indirect, incidental, consequential damages or loss of data, profits or business opportunities arising from use or inability to use the service.
- The Provider's total liability towards the Customer shall in no case exceed the total amount paid by the Customer in the 12 months preceding the event giving rise to liability.
10. Data protection
Personal data processing is governed by our Privacy Policy and Cookie Policy, which form an integral part of these Terms. The Provider processes data in compliance with the Swiss Federal Act on Data Protection (nFADP/DSG) and the GDPR.
11. Duration and termination
- The contract has a duration corresponding to the chosen subscription period and renews automatically.
- The Customer can cancel at any time by terminating the subscription via the Stripe portal. The service remains active until the end of the paid period.
- The Provider may terminate the contract with 30 days notice, refunding the unused period proportionally.
- In case of serious breach of these Terms, the Provider reserves the right to suspend or terminate the account immediately without notice.
12. Termination and data
- On contract termination, access to the tenant and related data will be disabled.
- The Customer's data will be retained for 30 days after termination, during which the Customer may request export.
- After this period, the data will be permanently deleted, without prejudice to legal retention obligations.
13. Changes to the Terms
- The Provider reserves the right to modify these Terms at any time.
- Changes will be communicated via email or notice on the platform at least 15 days in advance.
- Continued use of the service after changes take effect constitutes acceptance of the changes.
- In case of disagreement with the changes, the Customer may terminate the contract.
14. Applicable law and jurisdiction
- These Terms are governed by Swiss law.
- Any dispute arising from these Terms or use of the service shall be subject to the jurisdiction of Lugano (Switzerland).
- The consumer's right to bring proceedings in their place of residence remains, where provided by applicable law.
